Air Methods To Acquire Tri-State Care Flight

Air Methods Corporation announced that it has entered into a definitive agreement to acquire Tri-State Care Flight (“Tri-State”) for $222.5 million.  Tri-State generated net revenue of $81.5 million for the fiscal year ended Dec. 31, 2014.

The transaction, which was unanimously approved by Air Methods’ Board of Directors, is expected to be immediately accretive to Air Methods’ earnings per share by greater than $0.20 in year one and by greater than $0.30 in year two.  Upon closing, Tri-State will become a wholly-owned subsidiary of Air Methods.

“We are very excited about the acquisition of Tri-State,” said Aaron Todd, chief executive officer of Air Methods. “It represents an opportunity to integrate best practices and further extend Air Methods’ commitment to quality, patient outcomes and safety. We look forward to welcoming Tri-State to the Air Methods team.”

Founded in 2002, Tri-State is a critical care transport provider servicing Arizona, New Mexico, Nevada, and Colorado. Tri-State’s primary mission is to rapidly transport critically ill and injured patients for health care facilities and emergency medical services (EMS) agencies while providing the highest level of care available.

Dr. Blake Stamper, founder and managing member of Tri-State, said, “As a global leader in air medical transport services, Air Methods shares our commitment to superior customer service and the  best clinical outcomes for patients in need. By combining with Air Methods, we will be able to serve even more patients across our footprint.  We are confident that this will be a seamless transition for our employees, patients and other stakeholders.”

Air Methods expects to finance the acquisition through its credit facility, which was recently amended in August to provide for additional borrowing capacity. The acquisition is subject to customary closing and regulatory conditions. The transaction is expected to close in 30 to 60 days.

The Company will discuss this transaction during its third quarter earnings conference call, which is scheduled today at 4:30 p.m. Eastern. Interested parties can access the call by dialing (855) 601-0049 (domestic) or (720) 398-0100 (international) or by accessing the web cast at www.airmethods.com.

Angel MedFlight Poised For Growth With New Corporate Headquarters

Angel MedFlight Worldwide Air Ambulance has announced a relocation and expansion of its corporate headquarters. Angel MedFlight has executed a 5-year lease at The Pinnacle in Perimeter Center, 17851 N. 85th St. in Scottsdale, Arizona, approximately two miles north of its prior location.

The move stems from Angel MedFlight’s need for a more functional space to accommodate growth and demand for the provider’s air ambulance services. The new office space has been designed with advanced technology and enhanced amenities to better serve its domestic and international clients. In the last twelve months, Angel MedFlight has transferred patients from 49 states and 13 countries. The air ambulance company was recently awarded two prestigious aviation safety distinctions, earning the ARGUS Platinum Rating and the IS-BAO Stage 2 accreditation. EAA Joins List Of AMREF Flying Doctors’ Professional Partners

The services provided by AMREF Flying Doctors and European Air Ambulance are perfectly complementary, and already have many years of experience of working together.

European Air Ambulance relies on AMREF Flying Doctors for medical evacuation out of remote areas to fly patients into an international airport, where EAA can perform a wing-to-wing transfer of the patient to one of its aircraft for transport back to Europe, North America or any other requested destination. European Air Ambulance can rely on the expertise and decades of experience of its founding members, DRF Luftrettung and Luxembourg Air Rescue. Like AMREF, they were founded by people with vision and a burning desire to help improve the efficiency of emergency medical transport.

Over the years, EAA has proven itself to be a leader in providing global patient repatriation services. It is a commercial operation that provides a range of worldwide air ambulance repatriation services to insurance and assistance companies, governments and NGOs, corporations and individuals. Its team of experienced multi-lingual medical experts includes specialists in neo-natal and paediatric care.

EAA can organise the complete transport of the patient - alerting the appropriate medical staff and flight crew, preparing the aircraft with all the necessary medical equipment and medicines, consulting with the physicians who have already treated the patient, planning the flight route, coordinating delivery of the patient to the pick-up airfield and ensuring ground transport at the other end.

EAA has a fleet of seven air ambulances fitted with state-of-the-art medical equipment and necessary medication to ensure outstanding patient care. It has recently been upgrading its fleet to include three fully equipped Learjet 45XR aircraft, which provide greater range, cabin configuration flexibility and improved comfort for passengers. The other four aircraft are Learjet 35A air ambulances.

“We greatly appreciate the professionalism, experience and flexibility of AMREF Flying Doctors. In our mind, AMREF has the best knowledge and expertise for Africa in general and East Africa in particular,” says Patrick Schomaker, director sales and marketing at EAA.

CEGA Evacuates Clients From South Sudan At Height Of Instability

CEGA, the emergency assistance and claims provider, has successfully extracted nine clients from Juba, South Sudan, at the height of the country’s political instability.

The nine individuals, several of whom were fleeing life-threatening situations, were working variously as aid workers and in the oil sector. “We can’t thank you enough and can’t believe you were able to get us out,” said one, who had already contacted, among others, the Foreign Office, several commercial airlines and a security company in a bid to leave the country.

“We started preparing for evacuations well in advance of being contacted by our clients, thanks to real-time information gained from our intelligence on the ground in South Sudan,” says CEGA’s Senior Risk Research Analyst, Jonathan Brown. “As a result we were fully informed about both aircraft availability and flight restrictions. Using our extensive experience of providing emergency assistance in the country we could act quickly when restrictions were finally lifted.”

After being flown to Nairobi, the multi-national clients then travelled home on commercial flights - booked in advance by CEGA’s in-house travel unit to minimise waiting time.

In January 2012 International Assistance Group launched a new Partnership Program dedicated to major assistance companies as well as medical or roadside service providers. To develop this comprehensive global network, International Assistance Group recruits and trains quality assistance experts and accredited provider partners.

With a footprint reaching 180 countries, International Assistance Group provides a wide range of medical, travel, roadside and technical assistance services, via a unique global alliance of Core Partners and Assistance Partners and Preferred Providers. This specialized company supplies Roadside assistance services in UK and Southern Ireland.

Since 2011 D&G Cars had been cooperating with the International Assistance Group as Correspondent in the UK, and decided in 2012 to join formally the International Assistance Group partnership program.

Mike Kenny, Business Development Manager, presents his company: "D&G Cars was established over 25 years ago by our Managing Director, Dennis Harding. During this period it has evolved into what it is today, one of the leading vehicle recovery operators within Great Britain and Europe. Our core business is vehicle recovery, movement and storage. From our Recovery Control Centre based at Upminster, Essex, we provide assistance 24 hours per day. We have fully trained call centre staff on site and operate a fleet of vehicles to service our contractual agreements with major motoring organizations, police forces and government bodies. Our control centre also handles calls for nationwide assistance for a number of major companies such as Hoyer Group, Scania and MAN. Once the call is logged we then organize assistance either ourselves or through our network of contractors. Some breakdowns and recoveries, such as petrol tankers, require very specialist expertise. To this extent a number of our drivers are ADR certified. ADR is The European Agreement concerning the International Carriage of Dangerous Goods by Road (ADR). We are also proud to have our own, fully Petroleum regulated bay, which is one of only a few in the UK. Aircraft ground movements are taken care of through our subsidiary company D&G Aviation, this again requires careful planning and expertise. For a vast number of years we have provided Motorsport Recovery to our local, world famous racing circuit Brands Hatch. We provide vehicles and staff throughout the racing season come rain or shine. In more recent years our reputation has spread and we now also provide assistance further a field at Silverstone and we have even worked as far Abu Dhabi."

Employing a multilingual team, D&G Cars is the core recovery and assistance contractor for the London 2012 Olympics and Paralympics. There is staff based on the main Olympic site 24/7 plus they have vehicles and staff sited all over London.
